These Terms of Service govern your use of Superpart ("the Service").

By accessing and using Superpart, you agree to be bound by these terms. If you do not agree to any part of these terms, you may not use the Service.

Superpart is provided for use by businesses and organisations only.

By using the service, you confirm that you are acquiring it for the purposes of a business and not as a consumer.

Where Superpart is supplied to a business for the purposes of that business, the parties agree that the Consumer Guarantees Act 1993 does not apply to the extent permitted by law.

Superpart is provided on an "as is" basis. We do not warrant that the Service will be completely free from errors, viruses, or other harmful components, or that it will be uninterrupted or error-free at all times.

We may update, modify, or suspend the Service at any time, with or without notice.

To the extent permitted by law, the service provider and its officers, directors, employees, agents, and suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of Superpart.

This includes loss of data, loss of profits, business interruption, or any other loss, even if we have been advised of the possibility of such damages.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Ensuring that all information you provide is accurate and current
• Using the Service in compliance with all applicable laws and regulations
• Maintaining appropriate internal access controls and user management
• Preserving and protecting data within your organisation

Where Superpart is supplied on a paid subscription, fees, billing periods, renewal arrangements and cancellation terms are those agreed with your organisation.

We may change available plans or pricing for future billing periods by giving notice where required by the applicable agreement or law.

All content, features, and functionality of Superpart, including but not limited to software, design, graphics, and text, are the exclusive property of the service provider or its licensors. You retain ownership of all data you provide to Superpart. We have the right to use your data solely to provide the Service.

Superpart may suspend or terminate access where reasonably necessary, including for non-payment, misuse, security concerns, unlawful activity, material breach of these Terms, or risks to the Service or other users.

Where reasonably practicable, Superpart will provide notice before permanent termination. Immediate suspension or termination may occur where necessary to protect security, users, data, Superpart, or third parties.

Customers remain responsible for meeting their own legal, regulatory and record-retention obligations.

Unless immediate deletion is required for security, legal or technical reasons, Superpart will provide a reasonable opportunity after termination for an organisation to request or export available organisation data. After the applicable recovery or export period has expired, data may be deleted or anonymised in accordance with Superpart's retention and backup practices.

Termination of access does not transfer responsibility for regulatory maintenance-record retention from the maintenance organisation to Superpart.

Where technically supported, organisations may request an export of their organisation data.

Superpart may define reasonable export formats based on the type of data held and the technical capabilities of the Service.

We may update these Terms at any time. Your continued use of Superpart after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms regularly.

These Terms are governed by and construed in accordance with the laws of New Zealand, and you irrevocably submit to the exclusive jurisdiction of the courts of New Zealand.
